In these terms the following words shall have the following meanings:
‘Charity’ means WIZOuk Registered Charity Number 1125012, Registered in England & Wales Number 6634748
of Charles House, 108-110 Finchley Road, London NW3 5JJ
‘Intellectual Property’ means copyright trademarks service marks design rights and database rights and any other similar or analogous rights
‘Material’ means all of the information data text graphics links or computer code published on contained or available on the Website
‘Order’ means an order for goods or services made through the Website but for the avoidance of doubt excludes any donation made to the Charity
‘Website’ means any website under the ownership or control of The Charity from which a link has been created to these terms and conditions
‘You’ means the individual firm company or organisation accessing this website or making an Order and ‘Your’ shall be construed accordingly.
2 Applicable terms and conditions
2.1 The Website is owned by the Charity and any use made of this site (including Orders registrations and donations made via the Website) are subject to these terms.
2.2 The Charity may at its sole discretion modify or revise these terms and conditions at any time by updating the text of this page.
2.3 Your use of the Website constitutes acceptance of these terms.
3 Use of the Website
You are entitled to view any non-password protected parts of the Website and to use for Your own purposes the information contained on it provided:
3.1 it is used for information purposes only for reproduction for personal use only and not for reproduction on any other website or for commercial gain;
3.2 any links created to the Website are notified to and approved by the Charity before they are created; and
3.3 no part of the Website is copied or stored in a retrieval system or transmitted in any form or by any means to any third party without the written permission of the Charity.
4 Intellectual Property rights
4.1 Copyright in the Material is owned by the Charity or its content suppliers. Unauthorised use of the Material including reproduction storage modification distribution or republication without the prior written consent of the Charity or where applicable the respective copyright owner(s) is prohibited.
4.2 The names and logos of the Charity and all related product and service names designs marks and slogans are the trade names service marks or trade marks of the Charity and may not be used without the prior consent of the Charity.
4.3 All works in the nature of databases attract database rights.
5.1 The Website is intended for use by UK residents and only in relation to their activities within the UK. The website is intended to provide general information only about the activities of the Charity. You should seek specific information before taking or refraining from taking any action in reliance on any information contained on the Website. So far as permissible by law the Charity does not accept any liability to any person relating to the use of any such information.
5.2 Whilst the Charity has taken every precaution in compiling this site neither it nor any contributors to the site can be held responsible for any direct or indirect action You may take as a result of information contained in or accessed through this Website.
6.1 The Charity must receive payment of the whole of the price for any Order before the Order can be accepted. Once payment has been received the Charity will confirm that the Order has been accepted by sending an email to the email address You provide in the order form. The acceptance of the Order brings into existence a legally binding contract for the goods on the Order.
6.2 The Charity reserves the right to vary the prices of any goods or services listed without notice.
6.3 The Charity may add a delivery charge for delivery to some locations. Any such charge will be displayed on the Website.
6.4 You may cancel the Order by written notification at any time up to the seventh day from the date of the Order unless the goods are specifically designed or customised for You or have been personalised for You or are perishable.
6.5 If the goods have been delivered prior to cancellation and the Order is capable of cancellation the goods must be returned to the Charity at the cost of the User. Any goods returned must be returned unopened.
6.6 If an Order is cancelled any sum debited to Your credit or debit card will be re-credited as soon as possible and in any event within 30 days of the Order PROVIDED THAT the goods in question are returned and received by the Charity in the condition in which they were delivered to You. If You do not return the goods delivered or You do not pay the costs of delivery the Charity shall be entitled to deduct the direct costs of recovering the goods from the amount to be re-credited to You.
6.7 Orders may only be accepted for delivery in the United Kingdom and will be delivered to the address You specify within 30 days of the Order unless the Charity notifies You otherwise.
6.8 All deliveries are at Your risk from the time of delivery.
6.9 If the goods are not received within 30 days of the date of the Order (or any extension of that period under paragraph 6.6) the Charity shall have no liability unless You notify the Charity in writing at the address set out above within 40 days of the date on which the Order was made and if You notify the Charity under this paragraph the obligation of the Charity shall be limited to:
6.9.1 Making good any shortage or non-delivery
6.9.2 Replacing any goods that are damaged or defective; or
6.9.3 Refunding the amount paid for the goods
6.10 The Charity reserves the right to refuse or to cancel any Order but in that event the Charity will notify You by email and will make a full refund for the goods if the cost has been collected as soon as possible and in any event within 30 days of the Order.
6.11 The Charity shall have no liability for any failure to deliver goods or any delay in doing so or for any damage or defect to goods delivered that is caused by any event or circumstance beyond its reasonable control.
6.12 Notwithstanding the foregoing nothing in these terms is intended to limit any rights You might have as a consumer under applicable local law or other statutory rights that may not be excluded.
7 Warranty and indemnity
7.1 You warrant to the Charity that You will not use the Website the Material or any part of it for any purpose that is in contravention of any applicable law or regulation or in a manner that will infringe the Intellectual Property rights of the Charity or of others or in any defamatory obscene threatening abusive or unlawful manner.
7.2 You shall indemnify the Charity its employees and agents against all claims liability losses damages and expenses including without limitation legal fees and costs arising out of or incurred as a result of any claims made or litigation brought against the Charity its employees and agents as a result of the use by You of the Website the Material or any part of the Material for whatever purpose to the fullest extent permitted by law.
8 Limitation of liability
8.1 To the extent permitted by law the Charity disclaims all warranties and conditions with regard to the Material and any goods or services supplied as a result of an Order made through the Website whether express or implied or statutory (including all implied warranties and conditions of merchantability and fitness for a particular purpose).
8.2 In no event shall the Charity be liable for any indirect special or consequential damages including without limitation damages for loss of use data or profits arising out of or in any way connected with the use or performance of the Website interruptions or delays to the Website the provision of or failure to provide services or for any information Material goods and services obtained through the Website or otherwise arising out of the use of the Website whether based on contract tort or otherwise.
9 Third party websites
The Website contains links to websites operated by parties other than the Charity. Any links are provided for Your convenience only. The Charity does not control such websites and is not responsible for their content. The inclusion of links to such websites does not imply any endorsement of the material on such websites or any association with their operators.
10 Privacy and Data Protection
Whilst the Charity makes all reasonable attempts to exclude viruses from the website it cannot ensure that no viruses exist and no liability is accepted for damage caused through the downloading of viruses. You are recommended to take all appropriate safeguards before downloading information from the Website.
12 On-line Transactions
12.1 All Orders are subject to availability and the Charity reserves the right to refuse to accept an Order from any User.
12.2 The Charity reserves the right to refuse an application for membership submitted via the Website or at all.
Although the Website uses security software in areas where on line payment details are accepted the security of information and payments transmitted via the Internet cannot be guaranteed. Any loss which You incur or sustain by transmitting information by means of e-mail or other Internet links shall be borne solely and exclusively by You and in no event shall any such loss in whole or part be borne by the Charity or its agents.
14.1 If any provisions of these terms are held to be invalid or unenforceable the validity or enforceability of the remaining provisions shall not be affected.
14.2 These terms constitute the entire agreement between You and the Charity and supersede all previous communications and proposals whether electronic or written between You and the Charity.
14.3 Any failure of the Charity to exercise or enforce any of its rights under these terms shall not be deemed to be a waiver of any such rights or operate so as to bar the subsequent exercise or enforcement or any such rights.
15 Donations and Gift Aid
15.1 Any donation made via the Website is complete as soon as it is made.
15.2 The content of a declaration concerning Your eligibility for Gift Aid is entirely Your responsibility and a change in Your taxable status must be notified to HM Revenue and Customs as soon as possible.
16 Governing law and jurisdiction
These terms and Your use of the Website shall be governed by the laws of England and Wales and You submit to the jurisdiction of the English courts in all disputes arising out of or relating to the Website and/or any transactions made on the Website or these terms.
